Job Title: Debt Capital Markets Legal Counsel
Team/Role Overview:
Citi’s Debt Capital Markets (DCM) Legal team is part of the broader Investment Banking Legal group. Investment Banking Legal provides legal support globally for Citi's Capital Markets & Mergers & Acquisitions (M&A) businesses. DCM Legal in the UK, Europe, Middle East and Africa comprises nine team members based in London, Dubai, Belfast and Frankfurt and interacts with each DCM business desk, working closely with DCM Originators.
The role offers an opportunity to work on a broad range of high quality, complex and challenging DCM transactions, including syndicated bond deals, Medium Turn Notes (MTN) programme updates and establishments, emerging market bonds, sustainable finance, liability management, high yield debt and sukuk. Typical responsibilities will include working closely with the DCM business to provide advice and assistance on legal issues, deal document review and negotiation and liaising with external counsel. DCM Legal proactively identifies, evaluates, and contributes to the appropriate management of legal, regulatory, and reputational risk by collaborating with business partners, other functions and risk.
What you’ll do:
Our lawyers are closely involved in reviewing and negotiating bond documentation, including mandate letters, subscription agreements, legal opinions, auditors' comfort letters and Non-Disclosure Agreements. DCM Legal is often consulted from the pre-mandate stage (in order to provide structuring advice and to anticipate potential legal hurdles), through deal preparation and finally execution and settlement. This will also include working closely with law firms and managing law firm relationships.
DCM Legal also provides legal input on non-transactional matters, including regulatory and other market developments.
As part of Citi's internal control architecture, every lawyer in the group is also an important part of the approval process for all new and/or revised structures or products as well as ensuring compliance with Citi policies and procedures to protect the Citi franchise. Commercial awareness and good judgment are therefore essential skills for the successful candidate.
What we’re looking for:
UK qualified candidates would be desirable with post-training experience in a DCM department at a major international law firm. Some experience of working in-house for a global investment bank’s legal team supporting the DCM business preferred.
Candidates not in the above categories but demonstrating the necessary skills and type of experience for the role may be eligible to be considered.
